Terms of Service

1. The service

Knwlge is a context layer for AI coding assistants operated by Replient ("we", "us"). It captures your team's conventions, decisions and dangerous patterns and serves them to the assistants your developers already use. The Global App at knwlge.com is the console for Knwlge accounts, organizations and Enterprise Servers.

Access is currently by approval. Creating an account places you on a waitlist; we decide, at our discretion, when and whether to approve it. Until approval you can complete onboarding and nothing else.

2. Your account

You must provide a working email address and keep your password confidential. You are responsible for everything done with your account. Tell us at once if you believe it has been compromised.

You must be at least 18 years old and, if you sign up on behalf of an organization, authorized to bind it to these terms.

3. Acceptable use

You may not use Knwlge to break the law, to infringe anyone's rights, to probe or disrupt our systems or another customer's, or to build a competing product from our output. Enrollment tokens, licences and API credentials are for the organization they were issued to and may not be shared.

We may suspend an account or an Enterprise Server that we reasonably believe is in breach, and will tell you why when we can.

4. Your content and data

Source code, knowledge items, memories and context served from an Enterprise Server stay on that server, under your control. On the hosted plan your project data lives in our hosted data plane, isolated per organization. In both cases it remains yours; we claim no rights in it beyond what is needed to run the service for you.

The Global control plane holds account, organization, licence, enrollment and aggregate usage data. Our Privacy Policy explains how we handle it.

5. Plans, fees and changes

Developer (hosted) and Enterprise plans are described in the app. During the waitlist period the service is provided without charge unless we agree otherwise in writing. Fees, if any, will be agreed before they apply. We may change the service, and these terms, with reasonable notice; continued use after notice is acceptance.

6. Warranties and liability

The service is provided as is. Context cards are suggestions assembled from your own sources; your engineers remain responsible for the code they ship. To the fullest extent permitted by law we exclude implied warranties and are not liable for indirect or consequential loss, and our total liability to you in any twelve-month period is limited to the fees you paid us in that period.

7. Termination

You may close your account at any time. We may terminate or suspend access for breach, for legal reasons, or if we discontinue the service, with notice where practical. On termination we delete or return control-plane data about you within a reasonable period, subject to legal retention duties.

8. General

These terms are the whole agreement between you and Replient about the service, are governed by the laws of the State of Delaware, and any dispute will be heard in its courts. If any part is unenforceable the rest stands. Questions: legal@replient.com.
